Terms of Service

By accessing or using the Service, you agree to comply with and be bound by these Terms.

Marble Ledgers acts solely as a technology platform for business record management and does not assume responsibility for the accuracy, legality, or compliance of user-generated data.

1. Definitions

"Service" means the Marble Ledgers cloud-based SaaS platform including applications, APIs, dashboards, and related services.

"Customer Data" means all business data, records, financial information, documents, and other information submitted by a Customer through the Service.

"Subscription Plan" means a paid plan granting access to specific features of the Service.

"Authorized User" means any individual authorized by a Customer to use the Service.

2. Eligibility and Authority

You represent and warrant that:

  • You are at least 18 years old.
  • You have the legal authority to enter into this agreement.
  • If you are registering on behalf of a business entity, you have authority to bind that entity.

3. Account Registration

To access the Service, users must create an account.

You agree to:

  • Provide accurate and complete registration information
  • Maintain the confidentiality of login credentials
  • Notify us immediately of any unauthorized use

You are responsible for all activities that occur under your account.

4. SaaS License Grant

Subject to these Terms and payment of applicable fees, Marble Ledgers grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the subscription period.

This license is granted solely for internal business purposes.

Users may not:

  • Reverse engineer the software
  • Copy or replicate the platform
  • Resell or sublicense the Service
  • Attempt to access restricted infrastructure

5. Financial and Tax Compliance

The Marble Ledgers platform is provided as a business management and record-keeping software tool.

All financial records, invoices, accounting entries, tax information, and business data entered into the platform are created, controlled, and managed by the user.

The user is solely responsible for:

  • The accuracy of financial records
  • Accounting entries entered into the system
  • Tax calculations and reporting
  • Compliance with local tax regulations and financial laws
  • Any business decisions made based on the information stored in the platform

6. Accuracy of Data

Marble Ledgers does not verify the accuracy of data entered by users.

If a user records incorrect, incomplete, or non-tax compliant entries within the system, the responsibility for such entries rests entirely with the user.

Marble Ledgers Private Limited shall not be responsible for any losses, penalties, tax liabilities, or legal consequences arising from incorrect data entered by users.

7. Regulatory Compliance

The user is solely responsible for ensuring that their use of the Marble Ledgers platform complies with all applicable laws, tax regulations, and financial reporting requirements in their jurisdiction.

The Company does not guarantee that the Service will meet all regulatory or tax compliance requirements for every country or region.

8. No Professional Advice

The Service is provided for informational and operational purposes only.

Any reports, summaries, analytics, or financial data generated by the platform should not be considered professional accounting, tax, or financial advice.

Users are responsible for verifying all information before making business decisions.

9. Subscription Plans and Payments

Access to certain features requires payment of subscription fees.

Key terms include:

  • Subscription fees must be paid in advance.
  • Fees may vary based on plan features and user limits.
  • Pricing may change with prior notice.
  • Applicable taxes may apply depending on jurisdiction.
  • Payments may be processed through third-party providers including Razorpay.
  • Marble Ledgers does not store or process payment card information directly.

10. Subscription Renewal and Cancellation

  • Subscriptions may automatically renew at the end of the billing cycle unless cancelled before renewal.
  • Customers may cancel their subscription at any time through their account dashboard.
  • Cancellation will take effect at the end of the current billing period.

11. Refund Policy

Except where required by law, subscription payments are non-refundable. Refunds may be granted at the Company's discretion in exceptional circumstances.

12. Acceptable Use Policy

Users must not use the Service to:

  • Conduct illegal activities
  • Transmit malicious software
  • Interfere with system integrity
  • Attempt unauthorized access to infrastructure
  • Engage in fraudulent financial practices

Violation of this policy may result in suspension or termination.

13. Customer Data Ownership

Customers retain full ownership of all Customer Data submitted to the platform. Marble Ledgers does not claim ownership of such data. Customers grant the Company a limited right to process, store, and transmit Customer Data solely for the purpose of providing the Service.

14. Data Processing and GDPR Compliance

To the extent Marble Ledgers processes personal data on behalf of customers located in the European Economic Area (EEA), the Company acts as a data processor and the customer acts as a data controller under the General Data Protection Regulation.

Customers are responsible for ensuring they have lawful grounds for processing personal data through the Service. A separate Data Processing Agreement (DPA) may apply where required by applicable law.

15. Data Security

Marble Ledgers implements commercially reasonable security measures including:

  • Encryption of sensitive communications
  • Access control policies
  • Infrastructure monitoring
  • Secure hosting environments

However, no system can guarantee absolute security.

16. Service Availability

We aim to provide reliable and uninterrupted service. However, the Service may occasionally be unavailable due to:

  • Infrastructure maintenance
  • Network outages
  • Third-party provider failures
  • Force majeure events

Marble Ledgers does not guarantee uninterrupted uptime.

17. Third-Party Services

The Service may rely on or integrate with third-party providers including:

  • Payment gateways
  • Cloud infrastructure providers
  • Analytics tools

Marble Ledgers is not responsible for the availability or policies of third-party services.

18. Intellectual Property

All intellectual property rights related to the Service, including software, source code, design, trademarks, and platform architecture remain the exclusive property of Marble Ledgers Private Limited. Unauthorized use is strictly prohibited.

19. Confidentiality

Both parties agree to maintain the confidentiality of non-public information received from the other party. Confidential information must not be disclosed without prior written consent unless required by law.

20. Export Control Compliance

Users agree to comply with all applicable export control and trade laws. You may not use or access the Service if you are located in a jurisdiction subject to trade sanctions or export restrictions.

You agree to indemnify and hold harmless Marble Ledgers Private Limited from claims arising from misuse of the Service, violation of applicable laws, or infringement of third-party rights.

23. Force Majeure

The Company shall not be liable for delays or failure to perform obligations due to events beyond its reasonable control including natural disasters, internet outages, government actions, or cyber incidents.

24. Termination

The Company may suspend or terminate accounts if these Terms are violated, payment obligations are not fulfilled, or fraudulent or illegal activities are detected. Users may terminate their account at any time.

25. Changes to Terms

Marble Ledgers may update these Terms periodically. Updated versions will be posted on the website and continued use of the Service constitutes acceptance of the revised Terms.

26. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Any disputes arising under these Terms shall be subject to the jurisdiction of courts located in India unless otherwise required by applicable international laws.
